The Financial Crimes Enforcement Network (FinCEN) established a beneficial ownership information requirement (BOI) under the Corporate Transparency Act (CTA) whereby most U.S entities must report information on their beneficial owners to FinCEN starting on January 1, 2024.
FinCEN launched the BOI E-Filing website for reporting beneficial ownership information (https://boiefiling.fincen.gov) on January 1, 2024.
Companies required to report are called reporting companies. There are two types of reporting companies:

Securities reporting issuers, Governmental authority, Banks, Credit Unions, Depository institution holding companies, Money services business, Broker or dealers in securities, Securities exchange or Clearing agency, Other Exchange Act registered entity, Investment company or Investment advisors, Venture capital fund advisers, Insurance companies, State-
licensed insurance producer, Commodity Exchange Act registered entity, Accounting firms, Public Utility, Financial market utility, Pooled investment vehicle, Tax-Exempt entity, Entity assisting a tax-exempt entity, Large operating companies, Subsidiary of certain exempt entities, Inactive entity.
A reporting company is (1) any corporation, limited liability company, or other similar entity that was created in the United States by the filing of a document with a secretary of state or similar office (in which case it is a domestic reporting company), or any legal entity that has been registered to do business in the United States by the filing of a document with a secretary of state or similar office (in which case it is a foreign reporting company), that (2) does not qualify for any of the exemptions provided under the Corporate Transparency Act. An entity’s activities and revenue, along with other factors in some cases, can qualify it for one of those exemptions. For example, there is an exemption for certain inactive entities, and another for any company that reported more than $5 million in gross receipts or sales in the previous year and satisfies other exemption criteria. Neither engaging solely in passive activities like holding rental properties, for example, nor being unprofitable necessarily exempts an entity from the BOI reporting requirements.
